Terms and conditions
AGB
These terms apply to all services of Max Dixon, mixo, Rüthstraße 3, 65189 Wiesbaden, Germany ("mixo", "I") for its clients ("Client", "you").
§1 Scope
1.1 These terms apply to all agreements between mixo and the Client. Deviating terms of the Client only apply if I agree to them in writing.
1.2 My services are aimed exclusively at businesses within the meaning of § 14 BGB, not at consumers.
1.3 I may update these terms. Changes are sent to you in writing at least four weeks before they take effect. If you don't object within that time, the new terms apply. I will point this out in the notice.
§2 Services
2.1 I provide consulting and content services for personal branding on LinkedIn, such as strategy, positioning, post writing, publishing, comment management, outreach and reporting. The exact scope is set out in the offer or agreement ("Scope"). Anything not in the Scope is not included unless we agree on it in writing.
2.2 I owe a professional service, not a specific result. Reach, followers, leads or revenue are not guaranteed unless explicitly agreed in writing.
2.3 I may use software tools (including AI) and qualified freelancers to deliver my services. I remain fully responsible for the result.
2.4 I may work for other clients, including clients in the same industry as you.
§3 Your part
3.1 You provide the input, access and approvals I need on time, for example joining scheduled calls and giving feedback on drafts.
3.2 Nothing is published on your behalf without your approval. You are responsible for the content you approve.
3.3 If delays on your side push back timelines, the agreed fees still apply.
3.4 If you give me access to tools such as your CRM, chats or documents, you decide what I can see. If I process personal data on your behalf, we sign a data processing agreement pursuant to Art. 28 GDPR.
§4 Fees and payment
4.1 Fees are set out in the offer or agreement. All prices are net, plus statutory VAT where applicable.
4.2 Monthly fees are invoiced in advance at the start of each month and are due within 7 days of the invoice date.
4.3 If payment is late, statutory default interest applies (§ 288 (2) BGB). If payment is more than 14 days late, I may pause my services until the open amount is paid.
4.4 I announce price changes in writing at least 30 days in advance. You may cancel effective from the date the new price applies.
§5 Term and cancellation
5.1 Services run as a monthly subscription. There is no minimum term. I recommend at least four months, because that's how long it usually takes for results to build up, but this is not binding.
5.2 Either party can cancel at any time in writing (email is enough), effective at the end of the current billing month.
5.3 Both parties may terminate without notice for good cause, for example if payment is more than 30 days late or in case of a serious breach of these terms.
5.4 Fees for services delivered up to the end of the agreement remain payable.
§6 Rights to the content
6.1 Once paid, you receive the full and exclusive rights of use to the content created for you, such as posts, texts and graphics.
6.2 My methods, templates, processes and tools remain mine.
6.3 I may use our work together as a reference for my own marketing, for example on my website, in proposals and on LinkedIn. This includes your name, your company name and logo, posts I created for you that have been published and their results, such as impressions or follower growth.
6.4 You can object to this at any time by email without giving a reason. I will then remove the reference from my website and stop using it in new material within 14 days. Quotes from you are only used as a testimonial once you have approved the exact wording. Confidential information under §7 is never part of a reference.
§7 Confidentiality
Both parties keep all confidential information they receive during our work together confidential. This applies during the agreement and for two years after it ends, unless disclosure is required by law or agreed in writing.
§8 Liability
8.1 I am liable without limitation for intent and gross negligence, for injury to life, body or health and under the Product Liability Act.
8.2 For slight negligence, I am only liable for breaches of essential contractual obligations, limited to the foreseeable damage typical for this type of agreement.
8.3 I am not liable for damage caused by content you approved, by information you provided or by changes LinkedIn makes to its platform or algorithm.
§9 Final provisions
9.1 German law applies, excluding the UN Convention on Contracts for the International Sale of Goods.
9.2 If you are a merchant, a legal entity under public law or have no general place of jurisdiction in Germany, the place of jurisdiction is Wiesbaden.
9.3 Changes and additions to agreements must be made in writing. Email is enough.
9.4 If any provision of these terms is invalid, the rest remain valid.

The call takes one hour. We spend the first 30 minutes getting to know each other and checking if LinkedIn makes sense for you. Then we run a real content call. A few days later you get 3 posts written from what you said, plus a short video where I explain why each one works.
